These Terms and Conditions, together with the Privacy Policy and the Cancellation and Replacement Policy, shall collectively form the entire "Terms of Use".

PREAMBLE

M/s. Hallmark International, a partnership firm organized under the laws of India, having its principal place of business at A-401, Lotus Aura-2, Sama Savli Road, Vadodara – 390024, Gujarat, India (hereinafter referred to as "Company").

These Terms of Use, read together with the (a) Privacy Policy; and (b) Cancellation and Replacement Policy, constitute a legal and binding agreement between the User and the Company.

DEFINITION OF "PRODUCT": For the purposes of these Terms of Use, the term "Product" or "Products" shall collectively refer to all items offered for sale by the Company on the Platforms, including but not limited to:

Nutraceuticals, dietary supplements, and health wellness offerings;
Specific formulations such as Ashwagandha extracts, Probiotics, and Vitamin-enriched capsules;
Any other goods or related items made available for purchase through the Platforms from time to time.

The Terms of Use, inter alia, govern:

Your access to and use of the Company's website https://www.curowise.com/ and its associated mobile and tablet applications (collectively referred to as "Platforms"); and
Your purchase of Products and/or availing of any services from the Company (hereinafter collectively referred to as the "Services").

You hereby agree and understand that these Terms of Use form a binding contract between the Company and anyone who accesses, browses, or purchases the Products and/or avails the Services in any manner (hereinafter referred to as "You" or "User"). If You do not agree to the Terms of Use, You are advised not to avail the Services or purchase Products. The procurement of the Services or purchase of Products shall constitute absolute acceptance of the Terms of Use.

The Platforms are intended to serve as a digital interface for Users to explore, learn about, and purchase nutraceutical products and dietary supplements.

The provisions of Indian laws that govern the Terms of Use include, but are not limited to: (a) the Indian Contract Act, 1872; (b) the Information Technology Act, 2000; (c) the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011 (SPI Rules); and (d) the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("IG Rules").

1. INTERPRETATION

Headings, subheadings, titles, subtitles to clauses, sub-clauses and paragraphs are for information only and shall not form part of the operative provisions of the Terms of Use and shall be ignored in construing the same.
Words denoting the singular shall include the plural, and words denoting any gender shall include all genders.
The words "include" and "including" are to be construed without limitation.

2. TERMS AND CONDITIONS APPLICABLE TO USER

The User must be 18 years of age or older to register, visit the Platform, or avail of the Services in any manner. By registering, visiting, or availing of the Services, You hereby represent and warrant to the Company that You are 18 years of age or older and that You have the right, authority, and capacity to use the Services and agree to abide by the Terms of Use. The Company strictly prohibits the use of the Platform by minors without adult supervision. In the event a User is below 18 years of age, it is mandatory that they use the Platforms or avail of the Services only under the supervision of a parent or legal guardian. Should the Company be made aware that a User is under the age of 18 and is accessing the Platforms without such supervision, the Company reserves the right to deactivate such User's account without notice.

The contents of the Platform—including but not limited to information, text, graphics, images, logos, button icons, software code, interface, design, and the collection, arrangement, and assembly of content—on the Platforms, Services, or any Products, are the exclusive property of the Company, its partners, associates, affiliates, suppliers, and vendors, as the case may be ("Company's Content"). These are protected under copyright, trademark, and other applicable intellectual property laws. You shall not modify the Company's Content or reproduce, display, publicly perform, distribute, reverse engineer, create derivative works, transfer, or sell any Information or otherwise use the Company's Content in any way for any public or commercial purpose or for personal gain.

The Company authorizes You to view and access the Company's Content solely to avail of the Services, identify Products, carry out purchases of Products, and process cancellations in accordance with the Cancellation and Replacement Policy. The Company hereby grants You a limited, revocable, and non-transferable permission to access and use the Services. This permission does not include: (a) the resale of any Products; (b) the commercial use of the Company's Content; (c) the collection and use of product listings, descriptions, and/or prices for any unauthorized purpose; and (d) any derivative use of the Platforms or the Company's Content.

To assist the User in identifying the Services and Products of their choice, the Company provides visual representations on the Platforms, including graphics, illustrations, photographs, images, videos, charts, screenshots, infographics, and other visual aids. While the Company makes reasonable efforts to provide accurate visual representations, these are for illustrative purposes only. The Company disclaims any guarantee or warranty regarding the exactness of such visual representations or descriptions. The actual Products received may vary slightly in appearance (such as packaging or color) from the images displayed on the Platform.

Users may register themselves on the Platforms. Registration is a one-time process, and You are required to maintain the confidentiality of Your username and password. In the event You misplace Your credentials, You may retrieve or reset them using the "forgot username/password" functionality provided on the Platforms.

The User shall assume all risks, liabilities, and consequences arising from unauthorized or illegal access to their account, including access obtained through hacking or phishing. If a purchase of Products is made through the Platforms via such unauthorized access, the User acknowledges and agrees that the liability for any resulting payments or financial obligations shall be borne entirely by the User. The Company shall not be responsible for any loss or damage arising from the User's failure to secure their account credentials.

The display of Products for purchase on the Platforms is merely an invitation to receive an offer. An order placed by a User to purchase a Product constitutes an offer. The Company reserves the right to accept or reject Your offer. All orders placed by Users on the Platforms are subject to the availability of such Product, Company's acceptance of the User's offer and the User's continued adherence to the Terms of Use.

You agree to maintain and promptly update all your data and keep it true, accurate, current and complete. If You provide any information that is untrue, inaccurate, not current, incomplete, or if Company has reasonable grounds to suspect that the information provided by You is untrue, inaccurate, not current, or incomplete, Company reserves the right to indefinitely suspend, terminate or block Your access to the Platforms.

All rights and liabilities of Company with respect to any Services and Products to be provided by it shall be restricted to the scope of the Terms of Use. It is hereby clarified that Company shall not be held liable for any transaction/agreement between You and any such third parties.

You understand that on Your registration as a User and/or Your availing any Services or purchase of Products on the Platforms, You may receive text messages and/or emails from Company on Your registered mobile number and/or email address. Company's acceptance of Your offer to purchase shall occur and conclude only when Company sends an order confirmation email confirming such purchase. The Company, at all times, reserves the right to limit the number of registrations or cancel an order before confirmation.

Any communication from Company shall be sent only to Your registered mobile number and/or email address. You shall be solely responsible for updating Your registered mobile number and/or email address on the Platforms if there is a change.

Company may, at any time and without having to service any prior notice to You: (a) upgrade, update, change, modify, or improve the Services or a part of the Services in a manner it may deem fit, and (b) change the contents of the Terms of Use in substance; in each case which will be applicable to all Users. You must keep Yourself updated at all times and review the Terms of Use from time to time.

While Company shall make reasonable endeavours to maintain high-security standards and shall provide the Services by using reasonable efforts, Company shall not be liable for any interruption that may be caused to Your access or use of the Services.

The Services included on or otherwise made available to the Users are provided on an "as is" and "as available" basis without any representations or warranties, express or implied. Company does not covenant or warrant that:

the Services will be made available at all times;
the Company's Content available on the Platforms is complete, true, accurate or non-misleading; and
the Products are of specified features and fit for use for a particular purpose.

The User hereby affirms that the information provided by them is true, correct and complete to the best of their knowledge and belief.

3. PRODUCT ADVISORIES AND HEALTH DISCLAIMERS

NUTRACEUTICAL NATURE OF PRODUCTS: The User acknowledges that the Products available on the Platform are categorized as "Nutraceuticals" and are "Not for Medicinal Use". The Products are intended to supplement a varied diet and are not a substitute for a balanced and diverse diet.

NO THERAPEUTIC CLAIMS: While the Company provides information regarding clinically proven ingredients, the User understands that the Products are not intended to diagnose, treat, cure, or prevent any disease. Any reliance on the information provided on the Platform for therapeutic purposes is strictly at the User's own risk.

ADVISORY FOR SENSITIVE GROUPS: As per the specific cautions on the Product labels, the Products are strictly:

For Adult Use Only: Intended solely for individuals aged 18 years and older.
Not Recommended for Children: Use by children is strictly prohibited.
Pregnancy and Lactation: Not intended for use by pregnant or lactating women.

MANDATORY MEDICAL CONSULTATION: Any User undergoing medical treatment or taking prescribed medication must consult their healthcare professional before using the Products. If any adverse reactions occur, the User must immediately discontinue use of Products and consult a doctor. The User acknowledges that the provided information on the Platform is not a substitute for professional medical advice, clinical diagnosis, or treatment.

USAGE AND DOSAGE COMPLIANCE: Users must strictly adhere to the "Recommended Usage" instructions provided on the Product packaging. Do not exceed the recommended daily usage. The Company shall not be liable for any health complications arising from the consumption of Products beyond the suggested dosage.

ALLERGEN INFORMATION: The User acknowledges that the Products are manufactured in a facility that also processes milk and soy derivatives. It is the User's sole responsibility to review the ingredient list for potential allergens before purchase or consumption.

STORAGE AND PRODUCT INTEGRITY: The User agrees to store the Products in a cool, dry, and dark place, and to keep them out of the reach of children. The Company shall not be liable for any decrease in Product efficacy or safety resulting from improper storage, handling, or exposure to moisture and heat after delivery.

NOMENCLATURE DISCLAIMER: The User acknowledges that names such as "Gentle Sleep," "Calm Energy," "Metabolic Balance," "Skin Radiance," and "Gut Comfort" are purely product names and do not represent the Products' true nature or guarantee specific clinical results.

VISUALS AND PACKAGING: Visual representations and images of the Products on the Platform are for illustration purposes only and may vary from the actual Product received.

SUPERSESSION AND PREVALENCE OF PRODUCT LABELING: In the event of any contradiction, inconsistency, or ambiguity between the provisions of these Terms of Use and the information, advisories, warnings, or instructions printed on the physical packaging or labeling of the Products, the information on the physical Product label shall strictly supersede these Terms of Use.

4. USER COVENANTS AND OBLIGATIONS

PROHIBITED CONTENT: As mandated under Regulation 3(2) of the IG Rules, the Company hereby informs You that You are prohibited from hosting, displaying, uploading, modifying, publishing, transmitting, updating, or sharing any information that:

Belongs to another person and to which You do not have any right;
Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially/ethnically objectionable, disparaging, relating to or encouraging money laundering or gambling, or otherwise harmful in any manner whatsoever;
Harms minors in any way;
Infringes any patent, trademark, copyright or other proprietary rights;
Violates any law for the time being in force;
Deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
Impersonates or defames another person; or
Contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
Threatens India's unity, integrity, defence, security or sovereignty, friendly relations with foreign states, or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation.

You are strictly prohibited from:

Violating or attempting to violate the integrity or security of the Platforms or the Company's Content;
Transmitting any information on or through the Platforms that is disruptive or competitive to the provision of Services by the Company;
Intentionally submitting false or inaccurate information on the Platforms;
Using any engine, software, tool, agent or other mechanisms (such as spiders or intelligent agents) to navigate or search the Platforms;
Attempting to decipher, decompile, disassemble or reverse engineer any part of the Platforms;
Copying or duplicating in any manner any of the Company's Content;
Hosting, modifying, uploading, posting, transmitting, publishing, or distributing any material or information for which You do not have necessary rights and licenses.

You are also obligated to:

Use the Products solely for personal, non-commercial use;
Comply with all applicable laws in connection with availing Services and Your use of the Platforms;
Refrain from reproducing, copying, modifying, selling, or exploiting the Platforms or Company's Content for any commercial purpose without prior written consent.

You hereby authorise the Company to declare to any Governmental authority, upon request on Your behalf, that the Products purchased by You are for personal, non-commercial use.

In terms of the SPI Rules, the Company may transfer sensitive personal data or information to any other body corporate or person that ensures the same level of data protection adhered to by the Company, provided such transfer is necessary for the performance of a lawful contract or where You have consented to such transfer.

5. THIRD-PARTY INFORMATION AND LINKS

All information regarding third parties available on the Platforms ("Third-Party Information") is provided solely for reference. The Company does not endorse, represent, or assume responsibility for the accuracy or integrity of Third-Party Information.

Accessing Third-Party Information or external links is strictly at the User's own risk. The Company is not associated with, nor liable for, any transactions or agreements between the User and such third parties.

The User is responsible for taking sufficient precautions (such as using antivirus software) to ensure that any external links selected are free of viruses, worms, Trojan horses, or other destructive items.

6. INTELLECTUAL PROPERTY RIGHTS

All intellectual property used by the Company and on the Platforms, including the Company's Content, remains the exclusive property of the Company, its partners, associates, affiliates, suppliers, or relevant third parties. Except as expressly permitted in these Terms of Use, no material may be modified, copied, reproduced, distributed, republished, downloaded, displayed, sold, compiled, posted, or transmitted in any form or by any means without prior written permission from the Company.

The User shall not infringe upon the intellectual property rights of any person or entity while using the Platform or Services.

7. SHIPPING AND DELIVERY

The Company utilizes third-party professional logistics partners for the delivery of Products. While the Company endeavors to ensure timely delivery, it shall not be liable for any delays caused by the logistics partner, including but not limited to transit delays, incorrect sorting, or local delivery issues beyond the Company's reasonable control.

The risk of loss and title for all Products purchased by the User passes to the User immediately upon the Company's delivery of the Products to the logistics partner at Company's facility. The Company's responsibility for the physical condition of the package concludes upon handing the shipment to the third-party carrier.

The User acknowledges that certain Products, including but not limited to those containing Probiotics, are sensitive to extreme heat, moisture, and light. The Company ensures that all Products are dispatched in optimal condition; however, the Company shall not be liable for any degradation in Product efficacy or safety caused by the User's failure to collect the delivery promptly or if the package is left in an unsuitable environment following a successful delivery by the logistics partner.

The User is advised to inspect the external packaging for signs of tampering or damage before accepting the delivery. If a Product is received in a damaged condition, the User must follow the procedure set forth in the Cancellation and Replacement Policy.

8. INDEMNITY

USER OBLIGATION TO INDEMNIFY: You hereby agree to indemnify and hold harmless the Company, its partners, affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from any and all claims, losses, damages, and/or costs (including reasonable attorney fees and costs) arising from:

Your access to or use of the Services and/or Products;
Your violation of these Terms of Use;
Any infringement by You, or any other user of Your account, of any intellectual property or other rights of any person or entity;
Any action or omission on behalf of the Company's third-party affiliates, manufacturers, vendors, suppliers, and logistics partners in providing services.

DEFENSE OF CLAIMS: In addition to Your foregoing obligations, You agree to provide the Company with reasonable assistance, at Your expense, in defending any such claim, loss, liability, damage, or cost. The Company shall notify You promptly of any such claim, loss, or demand.

9. LIMITATION OF LIABILITY

ASSUMPTION OF RISK: The User acknowledges and undertakes that they are accessing the Services and purchasing the Products at their own risk. The User is expected to exercise prudent judgment and, where necessary, seek professional medical advice before placing an order for a Product or availing of any Services through the Platforms.

DISCLAIMER OF WARRANTIES: To the maximum extent permitted by applicable law, the Company provides the Platforms, Services, and Products on an "as is" and "as available" basis. The Company does not make any representations, warranties, or guarantees express or implied regarding the Platforms, Products, or Services, and all implied warranties under law or contract are hereby expressly disclaimed.

EXCLUSION OF DAMAGES: The Company, its partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with the use or inability to use the Platforms or Products.

MAXIMUM AGGREGATE LIABILITY: The maximum aggregate liability of the Company, in respect of all Services provided and all transactions undertaken by the User, shall be strictly limited to a maximum of INR 1,000 (Indian Rupees One Thousand Only).

11. SEVERABILITY AND WAIVER

If any provision of the Terms of Use is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability shall attach only to such provision, and the remaining part of such provision and all other provisions of the Terms of Use shall continue to be in full force and effect.

No provision or right under these Terms of Use shall be deemed waived by any act or omission by the Company. A waiver is only valid if provided in writing and signed by an authorized representative of the Company.

12. FORCE MAJEURE

The Company shall have no liability for the non-availability of the Platform, Services, or Products caused by an Act of God, war, revolution, riot, strike, flood, fire, natural calamity, pandemic, or any other cause beyond the Company's control.

13. TERM AND TERMINATION

These Terms of Use remain in effect while You use any Service or Product.
The Company reserves the right to terminate Services in the event of a breach of terms, misrepresentation, or unlawful activity.
You may terminate these Terms of Use by discontinuing all use of the Platforms or Services.
Termination does not cancel Your obligation to pay for Products already purchased or any other unfulfilled obligations accrued prior to termination.
Any provision of the Terms of Use that imposes an obligation or creates a right that by its nature will be valid after termination or expiration of the Terms of Use shall survive the termination or expiration of the Terms of Use.

14. DISPUTE RESOLUTION AND GOVERNING LAW

These Terms of Use shall be governed by the laws of India. The courts at Vadodara, Gujarat, shall have exclusive jurisdiction.

The Company shall not be a party to any legal proceedings between a User and any third party engaged through the Platform. If the Company is named in any legal proceedings, it reserves the right to recover all associated costs from the party that has implicated it. However, the Company will comply with any court order served upon it through due legal process.

The Company operates and controls the Platform from its headquarters in Vadodara, Gujarat, and makes no representation that the materials available on the Platform are appropriate or accessible in other locations. Users accessing the Platform from outside India are solely responsible for ensuring compliance with applicable local laws, including but not limited to export and import regulations of their respective jurisdictions.
